Purchasing and Project contract management and the 3 main contract types: fixed price, time and materials, and cost based contracts. This is an important knowledge in Project Procurement, Supply Chain, and Purchasing Management. In this video, you learn: Why and when do companies need contracts in purchasing management? What are the main contract types used by companies? What are the ADVANTAGES and risks of each contract type? Would you like to understand contract management in corporations? If yes, keep watching. Fixed price is a contract in which the price of the product or service is fixed during the contract duration. In these contracts, buyer and seller should know very well the specifications and, therefore, the costs can be estimated with accuracy. In a cost-based contract, the buyer agrees to reimburse the supplier for the expenses incurred plus a dollar amount of profit, usually a percentage of the contract’s full price. To protect against cost overruns, some companies define the maximum cost reimbursement the supplier cannot exceed. In Time & Materials (T&M) contract, cost unit rates are predetermined, but the man-hours and material quantity u can vary. Therefore, the total cost is not fixed while unit cost are fixed. It is a kind of hybrid contract. It has a fixed unit cost as the fixed price contracts, but the amount of material used and worked hours o may vary and will be paid accordingly. Tender of delivery is the obligation of a seller to transfer and deliver goods to the buyer or lessee in accordance with a sales or lease contract. The UCC stipulates place of delivery based on the following rules: noncarrier cases and carrier cases which include shipment contract and destination contract. A shipment contract is a sales contract that requires the seller to send the goods to the buyer but not to a specifically named destination. A destination contract is a sales contract that requires the seller to deliver the goods to the buyer's place of business or another specific destination. The perfect tender rule says that if the goods or tender of a delivery fail in any respect to conform to the contract, the buyer may opt to: reject the entire shipment, accept the whole shipment, and reject part and accept part of the shipment. Installment contracts requires or authorizes goods to be delivered and accepted in separate lots. The entire contract can be rejected only if the default substantially impairs value of the entire shipment. Destruction of goods occurs if goods identified in a sales or lease contract are totally destroyed without fault of either party before the risk of loss passes to either party, the contract is void. Acceptance occurs in each of the following cases: the buyer indicates acceptance by words, the buyer fails to reject goods within reasonable time, or the buyer acts inconsistently with seller's ownership rights. Payment is due from buyer when and where goods are delivered, and it can be paid in any manner acceptable in ordinary course of business; if cash required, buyer must be given an extension to secure cash. The buyer can revoke acceptance if goods are nonconforming, nonconformity substantially impairs value of goods, seller's promise to timely cure are not met, or goods were accepted before nonconformity discovered and the nonconformity was difficult to discover. Seller and lessor remedies includes the right to withhold delivery, right to stop delivery of goods in transit, right to reclaim goods, right to dispose of goods, right to recover the purchase price or rent, right to recover damages for breach of contract, and right to cancel a contract. Accounting for inventory purchase commitments (inventory purchase contract with agreement to buy inventories in advance such as weeks, months, or years), purchaser (buyer) enters into a formal noncancelable purchase contract, contract is "executory" in nature, at the contract date neither party has fullfilled its part of the contract, buyer recognizes no asset or liability at the date of the contract, however the contract details should be discloused in the financial statements, the example detailes the recording and calculations required for the different case senarios (1) where market price greater than contracted price, the excess market price over contract price is a gain contingency and cannot be recognized until realized (disclose as a footnote in Financial Statements), (2) market price less than contracted price, If the buyer expects losses will occur when the purchase is effected, buyer should recognize losses in the period during which such declines in market prices take place (current liability on purchase commitments and unrealized gain or loss on purchase commitments, loss in utility if it has occurred during the period in which the market decline took place), (3) when shipped (delivery) of goods record inventory at cost, accounts payable at contractual amount and reduce the estimated liability on the purchase commitment to balance inventory and payables, and (4) partial recovery of contractual amount based on goods delivered, detailed accounting and calculations by Allen Mursau

CONTRACTS THAT TRIGGER THE STATUTE OF FRAUDS The following contracts trigger the statute of frauds ("MSOUR" is a commonly used acronym): (M) Marriage A contract made in consideration of marriage triggers the statute of frauds. (S) Suretyship A suretyship contract generally triggers the statute of frauds. A suretyship contract is a three-party agreement where the surety promises an obligee to pay the principal's debt if the principal fails to pay the obligee. However, If the surety's main purpose in agreeing to pay the principal's debt is for the surety's own economic advantage, then the statute of frauds is NOT triggered. (O) One-Year Provision A contract that by its terms cannot be performed within one year from the day after its formation triggers the statute of frauds. The one-year provision is interpreted very narrowly – there must be no possible way that the contract could be performed within one year (e.g., A hires B to teach him contract law for the rest of his life. Since A could die tomorrow, the statute of frauds is not triggered under the one-year provision.). (U) UCC Goods Contracts for $500 or More A contract for the purchase or sale of goods for a price of $500 or more triggers the statute of frauds. (R) Real Estate Contracts A contract for the transfer or receipt of an interest in real property triggers the statute of frauds. SATISFACTION OF THE STATUTE OF FRAUDS Once it is determined that the statute of frauds is triggered, the next issue is whether the statute of frauds has been satisfied. There are two main ways to satisfy the statute of frauds: (1) with a signed writing; (2) and by performance. SATISFACTION BY A WRITING A writing that is signed by the party against whom enforcement is sought will satisfy the statute of frauds if the writing contains the essential terms of the deal. Under the common law, the essential terms include: parties, subject matter, quantity, and price. Under the UCC, the essential terms include: parties, subject matter, and quantity. SATISFACTION BY PERFORMANCE Performance of oral agreements can satisfy the statute of frauds under the following circumstances. Common Law Services Contracts Under the common law, FULL performance of a services contract by either side satisfies the statute of frauds. Part performance does NOT satisfy the statute of frauds. UCC Goods Contracts Under the UCC, part performance of a goods contract can satisfy the statute of frauds BUT ONLY for the quantity of goods that are delivered and accepted. However, there is an exception for custom-made goods. Making a substantial beginning toward the manufacture of custom-made goods will satisfy the statute of frauds if: (1) the goods are specially manufactured for the buyer; and (2) are not suitable for sale to others in the ordinary course of the seller's business. (UCC § 2-201(3)(a)). Real Estate Contracts In most jurisdictions, performance of a real estate contract can satisfy the statute of frauds if any two of the following three are met: (1) the buyer takes possession; (2) the buyer makes payment in full or part; AND/OR (3) the buyer makes substantial improvements or repairs to the land. Buyers remedies against seller in sale of goods act 1930  Suit for Damages for Non-delivery of Goods The Buyer can sue the seller for recovery of damages resulting from non-delivery of goods, if the buyer is ready and willing to take the delivery of goods, but the seller wrongfully neglects or refuses to deliver the goods, as per terms of Contract (s.57). Buyers remedies against seller in sale of goods act 1930,  Suit for Damages for Repudiation of the contract If the seller, before due date of delivery of goods, expresses his intention of non-delivery of goods to the buyer, the buyer may immediately sue the seller for damages without waiting for due date for delivery of goods to arrive (s.60).  Suit for Performance of Contract If the seller wrongfully neglects or refuses to deliver the goods, the buyer may sue the seller for specific performance.  Suit for Breach of Warranty In case of breach of warranty by seller, if the price is payable by the buyer, the buyer may deduct the amount of damages at the time of making the full payment (s.59).  Suit for Refund of Price and Recovery of Interest On repudiation of contract of sale due to wrongful neglect or refusal by the seller to deliver the goods, the buyer can sue the seller for refund of price, if already paid by the Buyer, and may also sue for recovery of interest, as awarded by court (s. 61(2)(b)).

If it's in the first six months, and it's not because of fair wear and tear, accidental damage or misuse, then the retailer must still repair or replace the item. Should investors use the long or short form agreement? An educated and well informed property investor can save a tremendous amount of time and money... Today I've prepared a short tutorial explaining when to use the long form agreement and short form sale and purchase agreement. Here are some real estate investment strategies you can use when establishing your business. Question -- ''Janet is asking on the purchase and sell agreement, the short form or the long form: which one they should use?" Answer -- ''We have a purchase and sales agreement that's a short form, one page legal size, and a long form. When you're buying a house that's subject 2, you want to use the short form because it doesn't matter how long it is if you don't get it signed. Use a short form. It's less threatening and you'll get it signed. Obviously make sure you have it on a two-piece NCR and all that as we teach you. Long form, if you're planning on flipping the house, wholesaling the house, or assigning the house, then obviously you want to have more terms in that. You want to use the long form. The long form protects you more. It protects your buyer that you're going to be actually assigning the house too. If you're doing a house where you're putting a lot of cash in the house or you're going to be assigning the house to someone, in that case, yeah it's okay if you use the long form. The difference is -- go ahead Mike. One of the options is a short-sale and is upside down. If the house is a short sale and it's upside down then pretty much you can use any contract. They don't have a choicer they're going to sign anything. It depends on who is doing the negotiation. My negotiators in the office, we basically use the real estate realtor's agreement, the standard department of real estate agent's sales and purchase agreement. Whatever they use, we use that. Then when we submit the package to the bank, it doesn't look unusual. It looks everything like it is. Plus, as I said, my negotiators are licensed agents. I had a lot of them, now I don't.
